• Superior text: State Council Regulation on Outbound Investment (Decree No. 837, in force 1 July 2026); operational basis: NDRC Decree 11, MOFCOM Decree 3 and SAFE Huifa [2015] No. 13. • NDRC: approval for sensitive projects (20 working days); filing for others — Chinese investment below USD 300 million goes to the provincial NDRC (7 working days); validity 2 years. • MOFCOM: filing completed in 3 working days with issuance of the outbound investment certificate; the certificate lapses after 2 years without investment. • Foreign exchange: ODI registration is handled directly by the bank at the investor’s registered address (SAFE no longer processes it directly); purchase and transfer of foreign currency require the registration; annual equity declarations apply. • Sequence: filing/registration first, funding second; include a “Chinese regulatory approval as condition precedent” clause in the Moroccan agreement.
